Top NYC finance firm is looking for an Equity Compensation Associate to report to the Equity Compensation Executive Director and be part of the Corporate Finance team. The Associate will be responsible for supporting Equity Administration and Strategy. This individual will help oversee the full cycle program of equity administration and will liaise with cross-functional teams to build and implement the process, ensuring compliance with all HR, legal, tax, and finance considerations. The Associate will be responsible for day-to-day administration of the Firm’s equity (RSU) program including data entry, maintenance and liaising with, the Firm’s equity administration service provider. Monitor and track vesting and delivery of equity (including ongoing tracking of any performance metrics for vesting). The individual with work with the HR Compensation team to coordinate grants during year-end, review offer letter terms regarding forfeited compensation buyout terms and calculation of equity replacement awards. Will work on issuing shares and liaise with new hires on documentation. Will work closely with Payroll to ensure correct tax withholdings when processing distributions. Will act as point of contact for all questions from global plan participants and work with HR to review and advise on leaver treatment. Will work with legal on preparing RSU agreements, updating Terms & Conditions of the deferral plan annually (law changes, regulation changes, etc.). Coordinate and assist in preparation of regulatory filings for equity plans in various countries. Will work with Finance, Legal, Compliance, Tax and Payroll on the coordination of equity transactions. Generate recurring reports and respond to ad hoc requests from Finance, HR & business leaders. Create, maintain and update procedure documents, provide support for special projects, enhancements and education initiatives as needed. Project and analyze cash needs of the business for redemptions and exchanges.
The candidate must have a completed BA/BS degree and a minimum of 2-5 years total experience in equity administration. Must have a comprehensive understanding across a variety of equity awards and public company equity programs, across multiple jurisdictions. Experience with preparing proxy filing / CD&A disclosures preferred. Role requires a strong analytical background with experience modeling different equity and compensation plan design proposals for presentation to senior management and the board. Experience with Morgan Stanley Equity Administration (Shareworks) platform is a plus. Proficiency in Microsoft Office, specifically Excel is required. Certified Equity Professional certification preferred. Experience with partnership equity administration as well as prior experience with Workday preferred. Role is currently fully remote until labor day at which point a hybrid model will begin.
